Code Clock Workshop Booking Terms and Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the booking and participation in workshops provided by Code Clock ("we," "us," "our"). By booking a workshop, you ('client', 'you') agree to be bound by these Terms.
2. Booking Confirmation
Bookings are confirmed once the 'client' has agreed to dates and times of workshops
3. Fees and Payment
- Standard Fees: The standard fee for each workshop is £395 per day.
- Custom Requirements: Fees may be adjusted based on specific requirements of the workshop, including but not limited to:
- Additional materials or equipment requested by the Client.
- Extended hours or additional days.
- Customised content or curriculum development.
- Workshop location and/or travelling time to/from proposed location.
- Agreement on Fees: Any adjustments to the standard fee will be discussed and agreed upon in writing between the Client and Code Clock prior to the booking confirmation.
- Payment Terms: Full payment of the agreed fee must be made at least 14 days before the scheduled workshop date unless otherwise agreed in writing.
- Late Payment: Failure to pay by the due date may result in cancellation of the booking and forfeiture of any deposit paid.
4. Cancellation Policy
- Cancellation by Client:
- More than 30 days before the workshop date: No cancellation fee, full refund of any payments made.
- Between 30 and 14 days before the workshop date: 50% of the total booking fee will be charged.
- Less than 14 days before the workshop date: 100% of the total booking fee will be charged.
- Cancellation by Code Clock:
- In the unlikely event that we need to cancel a workshop, we will provide a full refund of any fees paid or offer an alternative date for the workshop.
5. Rescheduling Policy
- Client-Initiated Rescheduling:
- More than 14 days before the workshop date: Clients may request to reschedule without penalty.
- Within 14 days of the workshop date: A rescheduling fee of 25% of the total booking fee will be charged.
- Code Clock initiated Rescheduling:
- If Code Clock needs to reschedule, we will work with the Client to find a mutually agreeable new date. No rescheduling fee will apply.
6. Workshop Delivery
- Location: Workshops will be delivered at the location agreed upon at the time of booking.
- Adjustments: We reserve the right to make minor adjustments to the workshop content to ensure it meets the needs of the participants.
- Client Responsibilities:
- Clients must ensure the venue is suitable and equipped with necessary facilities as agreed with Code Clock.
- Clients are responsible for the behavior of all participants during the workshop.
7. Client Responsibilities
- Code Clock's Liability: Code Clock shall not be liable for any loss or damage arising from the cancellation, rescheduling, or alteration of any workshop due to circumstances beyond our control. Our liability for any claim arising out of or in connection with the provision of the workshop shall be limited to the fee paid by the Client.
- Client's Liability: The Client is responsible for ensuring the safety and well-being of all participants during the workshop. The Client must have suitable public liability insurance in place for hosting the event. Proof of such insurance may be requested by Code Clock prior to the workshop.
- Indemnification: The Client agrees to indemnify and hold harmless Code Clock, its employees, and agents from any and all claims, damages, losses, and expenses arising out of or in connection with the Client's failure to comply with this requirement.
8. Force Majeure
- Code Clock shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, government sanction, blockage, embargo, workforce dispute, strike, lockout or interruption or failure of electricity or telephone service.
9. Intellectual Property
- All materials provided during the workshop remain the intellectual property of Code Clock and may not be reproduced or distributed without our prior written consent.
- Any customised content developed specifically for the Client remains the property of Code Clock unless otherwise agreed in writing.
10. Privacy and Data Protection
- Code Clock will collect and use the Client's personal information in accordance with our Privacy Policy.
- We will not share personal information with third parties without the Client's consent, except as required by law.
11. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of Northern Ireland. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
12. Amendments
- Code Clock reserves the right to amend these Terms at any time. Clients will be notified of any changes at least 30 days prior to their implementation.
